Sears, the 125-year-old icon, has 24 hours to survive.

The employer of more than 68,000 filed for bankruptcy in October. Its last shot at survival is a $4.6 billion proposal put forward by its chairman, Eddie Lampert, to buy the company out of bankruptcy through his hedge fund, ESL Investments. ESL is the only party offering to buy Sears as a whole, people familiar with the situation tell CNBC. Without that bid or another like it, liquidators will break the company up into pieces.

But as Lampert stares down a deadline of Dec. 28 to submit his offer, he is quickly running out of time. As of Thursday afternoon, Lampert had neither submitted his bid, nor rounded up financing, the people familiar said. Should Lampert submit a bid, Sears’ advisors would have until Jan. 4 to decide whether he is a “qualified bidder.” Only then, could ESL take part in an auction against liquidation bids on Jan. 14.

It is possible Lampert, Sears’ largest investor, secures financing in time to meet the deadline, these people said. The hedge fund manager turned retailer has managed last-minute feats before. Due to requirements by the Securities and Exchange Commission, Lampert will be required to make his bid public. That stipulation that could sway him to prolong the filing until its exact deadline of 4:00 p.m. ET Friday.

Nonetheless, the quickly approaching cutoff puts Sears the closest to death it has ever been. Should Lampert miss the deadline, it would put Sears and Kmart on the path to liquidation. That process would take weeks, according to the guidelines laid out by the bankruptcy court. But the process has also already slowly begun, with the retailer weighing the closure of 50 to 80 more stores, CNBC has reported.

The people familiar with these developments requested anonymity because the talks are confidential.

Sears was the Amazon of the 1930s. Here’s where the retailer is today  

Sears filed for bankruptcy on Oct. 15 with a little under 700 stores. At that time, it said it would close 142 unprofitable stores. In November it announced the closure of 40 additional stores.

Sears in bankruptcy has, therefore, continued a trend that far preceded its chapter 11 filing, a slow-paced liquidation.

Once the nation’s biggest retailer, it was also its first “everything store,” stocking everything from jewelry to clothing, from hardware to prefabricated homes. But the department store industry has struggled over the past half-decade, as the mall has become less convenient and apparel more casual. Rival J.C. Penney is also feeling the pressure of this trend, on Wednesday its shares dipped below a $1 for the first time.

Lampert had a plan to save Sears by combining it with Kmart, which ESL bought out of bankruptcy after the discount store’s 2002 bankruptcy filing. But the cultures of Sears and Kmart employees were different, as were its shoppers — cross-selling Sears’ appliances and Kmart’s apparel proved less successful than originally planned.

In his five-year reign as CEO and even longer term as chairman, Lampert has largely run the company like the hedge-fund manager he once was, say former executives, employees and people familiar with his thinking. That meant investing less in its stores and advertising, believing such investments were optional.

It also meant keeping Sears alive through complex investments from ESL. Lampert poured millions of dollars through ESL into Sears, which struggled for years with losses and debt. Those investments came amid Lampert’s strong belief in his ability to turn Sears around, in part through its loyalty program, “Shop Your Way,” say people familiar with Lampert’s thinking. But Sears finally hit a cliff, when it had a $134 million payment it could not meet.

Financing an issue

Keeping Sears afloat was easier for Lampert before it filed for bankruptcy. ESL’s loans, while ample, had been largely protected by Sears’ assets, like its prime real estate. Once it filed for bankruptcy, Sears has had far less to offer its lenders and Lampert has had less control.

ESL was in talks to help finance a junior portion of Sears’ bankruptcy loan. Those talks fell apart after he asked lenders to improve the terms of the loan and offer him more protections.

His $4.6 billion offer to buy Sears, meantime, is comprised of various tranches of financing, and little of his own cash. The outside lenders he is asking to support his bid lack the same apparent drive that Lampert had to turning Sears around.

The asset-based loan he is seeking has faced scrutiny from investment banks, weary of lending to a business that hasn’t turned a profit since 2010.

Some creditors he asked to support his offer have called his efforts to keep Sears alive a “foolhardy gamble with other people’s money,” according to court filings. They have also taken aim at his efforts to fund $1.8 billion of his bid by forgiving Sears debt owed to him, through a so-called credit bid.

Those creditors last week said they believe there may be claims against Sears for transactions under Lampert’s leadership. Those deals include Sears’ spinoff of Lands’ End and transactions with Seritage Growth Properties, a real estate investment trust Lampert created through select Sears’ properties. As such, they have said they will object to the credit bid.

Lampert could use his own cash to backstop the $1.8 billion credit bid, but it remains unclear whether he is willing to do so.

Meantime, Lampert has also asked as part of ESL’s bid that Sears’ creditors agree to a release from potential lawsuits over his past transactions. With the threat of litigation looming large, that ask is far from trivial.

Without financing in place, ESL missed its chance earlier this month to be named a so-called stalking horse bidder in an auction for Sears. The miss was an early sign of the challenges Lampert faced. Being named the stalking horse in a bankruptcy sale typically affords a number of perks, like a role in setting bidding procedures and a break-up fee should that bid be topped.

Supreme Court Brief Supporting 2A Challenges Federal Handgun Sales Ban

WASHINGTON, D.C. –-(Ammoland.com)- A brief supporting Supreme Court review of a Fifth Circuit decision in a Second Amendment challenge to irrational federal gun control rules was filed by civil rights attorney Donald J. Kilmer, reports three constitutional rights advocacy groups who joined the brief. A copy of the brief can be viewed at www.firearmspolicy.org/legal.

The amici argue that the Supreme Court should take up the case in order to correct a lower court ruling that upheld a federal gun control rule that bans law-abiding people from buying handguns in states other than their state of permanent residence while allowing the purchase of rifles and shotguns in other states.

“Law-abiding citizens of the United States. . . should not be prohibited by 18 U.S.C. § 922(a)(3) and (b)(3) from purchasing a firearm in any of the other states or territories they travel to, travel through, or in any state or territory where they may temporarily reside,” the groups said in the court filing. “Any federal law and/or regulation imposing such a prohibition violates the Second Amendment to the United States Constitution under any theory of interpretation.”

The brief also argues that the Second Amendment’s disparate treatment by lower courts since the Heller and McDonald decisions appears to track the history of the Fourteenth Amendment, one of the post-Civil War Reconstruction amendments that sought to eliminate slavery and ensure that all people had access to fundamental rights, including the right to keep and bear arms.

“This Court should take this opportunity to complete the resuscitation of the Fourteenth Amendment’s ‘privilege or immunities’ clause initiated by Justice Thomas’ concurrence in McDonald,” the brief said in its conclusion.

The petition for certiorari in Mance, et al. v. Whitaker, et al. (Supreme Court docket no. 18-663) is likely to be considered by the U.S. Supreme Court in February or March 2019. The Court’s docket is available here.

Sources said the teenage girl messaged Cruz online and got him to come meet her for a tryst in the woods sometime between Dec. 15 and 16. Instead, a group of four gangbangers — the girl included — pumped four rounds of .22-caliber ammunition into his head.

Gun Owners Of America Formally File Lawsuit Against Bump Stock Ban

The Gun Owners Of America and the Virginia Citizens Defense League have stood tall and put their money where their mouths were.

Now, will the NRA and anyone else stand tall?

Immediately after the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF) announced its decision to rescind its approval of the bump stock, the Gun Owners of America announced its plan to file a lawsuit to try and overturn the move.

Of course, talk is cheap.

However, the GOA announced yesterday that it wasn’t just talk.

GOA Files Suit Against ATF’s Illegal and Unconstitutional Bump Stock Ban

Springfield, VA – Gun Owners of America (GOA) and its Foundation (GOF) filed suit today against the Bureau of Alcohol, Tobacco, Firearms & Explosives (ATF) for their regulations on bump stocks.

Erich Pratt, executive director of Gun Owners of America said, “Our suit challenges the legality of ATF’s action and asks for an injunction to stop enforcement of the regulations.

“These dangerous regulations can go much farther than just bump stocks. The goal of the anti-gun left is, ultimately, not just banning bump stocks, but, rather, putting ‘points on the board’ toward its goal of banning civilian ownership of all firearms.”

The suit is filed strategically in the Western District of Michigan, and GOA is joined by other pro-gun groups and individuals.

“Not coincidentally, Michigan is located within the jurisdiction of the Sixth Circuit Court of Appeals — a circuit which is not only very pro-gun, but also has been more skeptical of illegal government regulatory actions than many other circuits in the country,” Pratt stated.

“GOA is happy to announce that the Virginia Citizens Defense League has joined the suit as a plaintiff — as well as Tim from the Military Arms Channel and GOA’s Texas state director Rachel Malone,” Pratt continued. “And I’m pleased to report that several state gun organizations, such as the Oregon Firearms Federation and BamaCarry, have contacted GOA and will be contributing financially, and by other means, to this case.

I’m not sure the Trump administration accounted for the firestorm it was going to ignite.

While bump stocks aren’t the most popular devices out there and many gun owners had little to no interest in owning one, this decision and the way it was handled rightly upset many in the gun community.

After all, why wouldn’t we get upset at something being perfectly legal one minute and then illegal the next, all with the stroke of a pen?

In addition to the lawsuit, there’s also a petition on the White House’s website seeking to reverse the bump stock ban, though it has only received a small number of signatures as of the writing of this post.

Regardless, this has angered many in the firearms community, and it’s not likely to get better any time soon.

So what will the ramifications of the lawsuit be? Honestly, depending on how far the lawsuit gets, it has the potential to impact far more than bump stocks.

Congress has long shirked its role as a lawmaker by empowering the executive branch’s agencies to create regulations for any number of things, from guns to the environment. The thinking was that an agency could adjust on the fly far better than Congress can. Plus, these agencies would theoretically operate outside of politics, making decisions based on data and not popular opinion.

We see how that worked out, don’t we?

A lawsuit could potentially overturn that decades-long policy and require Congress to create laws, making elected officials answer to the voters for what the Environmental Protection Agency and ATF do.

That would be a nice change of pace, now wouldn’t it?

The question is, will it happen?

Former ICE Chief Tom Homan Slams Nancy Pelosi for Saying Walls Don’t Work

One of House Leader Nancy Pelosi’s left-wing talking points is that border walls do not work, but former ICE chief Tom Homan finds Pelosi’s comments to be absurd.

Of course, border walls work, Homan says with his criticism of Pelosi’s attack on Trump.

“Every place a wall or barrier has been built, it has resulted in decreased illegal immigration, decreased drug smuggling. One hundred percent of the time, it has proven effective,” Mr. Homan recently told Fox News.

“Look at the rest of the data on the border, where arrests of MS-13 [gang] this year are up 118 percent, the seizures of guns — for God’s sake — are up almost 200 percent. There’s your data. Look at it. You can see why we need a wall,” he added.

The Washington Times added:

Mr. Homan, a veteran of the Border Patrol agent and investigator for Immigration and Customs Enforcement, said Mr. Trump was “doing the right thing” in shutting down the government in a fight with Democrats over funding a wall or barrier on the border with Mexico.

The partial shutdown began Saturday, affecting about 25 percent of the federal government, including the Department of Homeland Security.

Pelosi recently slammed Trump for saying that terrorists can come over our unprotected border. She also slammed him for saying that illegal aliens bring dangerous diseases into the country.

But Homan said Pelosi is “100 percent wrong.”

“Allow me to educate Mrs. Pelosi,” he said. “As far as crime coming across the border, ICE arrested 138,000 criminals last year. These are people who entered the country illegally and committed crimes against the people of this country.”

Last year, ICE arrested illegal immigrants in more than 2,000 homicides cases, more than 11,000 weapon violations and almost 12,000 sexual assaults, Mr. Homan said.

Homan also noted that they had anillegal with tuberculosis come through once, too.

“We had to work with CDC and Texas Department of Health to find a way to treat this gentleman, so we kept him locked up for months at great taxpayer expense. Imagine if that strain of TB were to get released into the American society,” Mr. Homan told Fox.

Pelosi knows she is wrong. She just doesn’t care. So what if a few terrorists or thousands of disease-ridden illegals get through? If it helps her grow the welfare state and add Democrat voters to the roles, that is all she cares about.

This article would be incredible but unfortunately it’s not.

If one is not planning an advanced degree a bachelor’s degree is little more than a ticket to join the rat race to mediocrity.

Two years are clearly enough at a junior college, then think about trade schools.

How many millionaires can’t fix their own cars or appliances because most everything has become computerized?

Look no further than Cal Berkeley as a perfect example.

More evil is a slothful federal government.

I’m talking here specifically about our members of Congress who are still drawing their monthly allotment at the taxpayers expense.

Keep both the House and the Senate shut down indefinitely.

While they aren’t in session the can’t take more of our freedoms away and raise taxes which is the only thing they do efficiently.

If people are temporarily unessential, that means the entire work force must be investigated by the Inspector General to see which jobs can be moved to the private sector or be terminated completely.

Nothing here against federal employees who are needed, they chose the security of a position with the government that just may not be needed anylonger.

During WWII Christmas trees were in short supply because of lack of manpower to cut the tress down and a shortage of railroad space to ship the trees to market.  Americans rushed to buy American-made Visca artificial trees.  The electric lights that were designed in the 1940’s are still in use today.

Travel during the holidays was limited for most families due to the rationing of tires and gasoline.  Americans saved up their food ration stamps to provide extra food for a fine holiday meal.
